Acceptance of Terms
Muse ("Muse," "we," "us," or "our") provides an AI-powered music creation service through our website at muse.art and our Muse software plugin for Ableton Live (the "Service"). By accessing, downloading, installing, or using the Service in any way (including the 7-day free trial or any paid version), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
Eligibility: You must be at least 13 years old to use Muse. If you are under 18 (or under the age of majority in your jurisdiction), you may only use the Service with the involvement and consent of a parent or legal guardian, who must also agree to these Terms on your behalf. By using the Service, you represent that you meet this eligibility requirement.
Changes to Terms: We reserve the right to modify or update these Terms at our sole discretion. If we make material changes, we will notify you by posting the updated Terms on our Site and updating the "Last Updated" date above. In some cases, we may also notify you via email or via an in-Service notification. Continued use of the Service after updated Terms become effective constitutes your acceptance of those changes. If you do not agree to any revised Terms, you should stop using the Service.
Service Description
What We Offer: Muse is an AI-driven music technology platform that currently functions as a plugin for Ableton Live (via a Max for Live device) and includes web-based tools. The Service provides creative tools such as AI-generated MIDI compositions and synthesizer presets to assist you in music production. Our Creator Suite allows users to generate original musical content with the help of Muse's AI models. An active internet connection is required for the Service to function, as the heavy AI processing (model inference) is performed on cloud servers. Muse is accessible via supported web browsers and as a plugin within Ableton Live on desktop; it is not offered as a mobile application at this time.
In-House AI Models: Muse's AI models are trained exclusively on music data that we have created or legally obtained in-house. We do not use scraped content or third-party copyrighted musical data in training our models. This approach is intended to ensure that generated MIDI and presets are original and to minimize the risk of infringing others' intellectual property. However, you understand that the concept of "originality" in music is complex, and Muse cannot guarantee that an AI-generated piece will not coincidentally resemble any existing work.
Outputs and Usage: When you use Muse to generate music content (such as MIDI sequences or synth preset files), those generated outputs (the "Output Content") are delivered to you through the Ableton Live plugin or the web interface. You may then use, download, or save the Output Content for your own purposes. You retain full ownership of the MIDI files, presets, and any other Output Content you create with Muse, as explained in the Intellectual Property section of these Terms. Muse does not automatically publish or share your creations with others – your content remains private to you unless you choose to share it.
Internet Connection: Because Muse's core AI processing occurs in the cloud, you acknowledge that the Service will only function with an active internet connection. The plugin communicates with our servers to generate music content, and if you are offline or our servers are unavailable, certain features (or the entire Service) may not work. We are not responsible for any inability to use the Service due to lack of connectivity or network issues on your end. You are responsible for any internet access charges you incur in using Muse.
Account Registration and Security
Account Creation: To access certain features of Muse (including the free trial and subscription services), you will need to create an account. When registering, you agree to provide truthful, accurate, and current information (such as your name, email address, and payment details when required) and to promptly update this information if it changes. You must not impersonate someone else or create an account using someone else's information without their permission. Each user is generally limited to one account; creating multiple accounts to abuse promotions, extra free trials, or to circumvent usage limits is a violation of these Terms.
Account Security: You are responsible for maintaining the confidentiality of your account credentials (login and password). Do not share your password or account access with others. You agree to notify us immediately at help@muse.art if you suspect any unauthorized access to or use of your account, or any other breach of security. Muse is not liable for any loss or damage arising from your failure to secure your account or to notify us of unauthorized use. You are responsible for all activities that occur under your account, whether or not you know about them.
License Grant and Use Rights
License to Use the Service: Subject to your compliance with these Terms and timely payment of any applicable fees, Muse grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your own music composition and sound design purposes. This license is provided for the term of your subscription or trial (or, in the case of a perpetual one-time license, for the supported lifetime of that product version as explained below).
Usage Restrictions: In using Muse, you agree that you will NOT:
- Reverse engineer, decompile, disassemble, or attempt to discover the source code or structure of the Muse plugin or AI models
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Create multiple accounts to obtain more than one free trial or access the Service without paying applicable fees
- Use automated systems to access the Service or extract data in bulk
- Use the Service to develop or enhance a competing product or service
- Use the Service for any illegal purpose or in violation of applicable laws
- Share, sell, or transfer your license or account to another person
User Conduct and Acceptable Use
We expect all users to use Muse responsibly and respectfully. You agree that you will use the Service in compliance with the following rules of conduct:
- Lawful Purposes Only: You will not use the Service for any unlawful, harmful, or fraudulent purpose
- No Infringing Inputs: You must only provide input that you have the rights to use
- Prohibited Content: You will not use Muse to create content that is defamatory, obscene, abusive, or hateful
- Respect Usage Limits: Muse may impose certain usage limits on the Service, especially during the free trial
- Truthfulness and Attribution: Be honest in contexts where disclosure is required by others
Intellectual Property and Ownership
Muse's Intellectual Property: All elements of the Service (except for your personal content and outputs) are the intellectual property of Muse or our licensors. This includes the software code, AI models, design, databases, training data, and all trademarks associated with Muse.
AI-Generated Output: The core of Muse is to produce AI-generated musical content. Muse makes no claim of ownership over the Output Content that is generated for you. As between Muse and you, you are the owner of the MIDI files, audio clips, synthesizer preset files, and any other creative results produced by the Service when you use it. You are free to use, edit, copy, distribute, perform, and monetize such Output Content however you like without any obligation to pay Muse or attribute Muse as the creator.
No Attribution Required: You have no obligation under these Terms to mention or credit Muse in any release or sharing of the content you created using the Service.
Subscription Plans and Fees
7-Day Free Trial: We offer new users a free trial of the Creator Suite for seven (7) days. Unless you cancel before the trial ends, your trial will automatically convert into a paid annual subscription. The trial is available once per new user, and creating multiple accounts to receive multiple free trials is a violation of these Terms.
Creator Suite (Monthly or Annual): Our comprehensive subscription plan provides ongoing access to Muse's full set of features and tools. Subscriptions automatically renew unless canceled. You can cancel at any time, but cancellations take effect at the end of the current billing period.
"Pay Once" Perpetual License: A one-time purchase option that grants you the right to use a specific version of the Muse plugin indefinitely. Purchase includes free updates and technical support for one year from the date of purchase. After one year, your Perpetual License will not automatically include further software updates.
No Refunds: Except as explicitly provided in these Terms or as required by law, payments are non-refundable. We believe our 7-day trial provides an adequate evaluation period.
Termination and Suspension
Your Right to Cancel: You are free to stop using the Service at any time. You may delete your account or cancel any paid subscription through the account settings or by contacting us.
Our Right to Terminate: Muse reserves the right to suspend or terminate your account for violations of these Terms, illegal activities, or for convenience with advance notice. If we terminate without cause and you have an active paid subscription, we will provide an appropriate refund for any unused portion.
Effects of Termination: Upon termination, your right to access the Service will cease. You retain ownership of your previously generated Output Content, but may lose access to content stored only on the Service.
Disclaimers of Warranty
Use at Your Own Risk: Your use of the Muse Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind. We make no guarantee that any musical output will be to your liking, commercially viable, or suitable for a particular purpose.
We specifically disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and error-free operation.
Limitation of Liability
To the fullest extent permitted by law, Muse shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of your use of the Service. This includes damages for loss of profits, data, goodwill, business interruption, or other intangible losses. Muse's total cumulative liability is limited to the amount actually paid by you to Muse in the twelve months immediately preceding the event giving rise to liability (or $50, whichever is greater).
Indemnification
You agree to indemnify, defend, and hold harmless Muse from any claims, liabilities, damages, and expenses that arise out of your use of the Service, your violation of these Terms, your violation of any law or third-party rights, or any breach of your representations and warranties.
Governing Law and International Use
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without giving effect to any conflict of law principles.
International Users: If you access Muse from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. You agree to comply with U.S. and other applicable export control and sanctions laws.
Dispute Resolution and Arbitration
Agreement to Arbitrate: You and Muse agree that any dispute arising out of or relating to these Terms or the use of the Service shall be resolved by binding arbitration on an individual basis, except for specific exceptions. By agreeing to arbitration, you and Muse are each waiving the right to a trial in court and to have a judge or jury decide your case.
Informal Dispute Resolution: Before initiating arbitration, you agree to first attempt to resolve the dispute informally by contacting Muse at help@muse.art. We will engage in good faith discussions for 30 days to try to resolve the issue.
Opt-Out: If you do not wish to be bound by this Arbitration Agreement, you must send written notice to help@muse.art within 30 days of first accepting these Terms.
General Provisions
These Terms constitute the entire agreement between you and Muse regarding the Service. If any provision is held invalid, the remaining provisions will remain in effect. You may not assign these Terms without our consent. Muse may assign these Terms without restriction.
Any claim or cause of action arising out of the Service or these Terms must be filed within one year after such claim arose. These Terms may be accepted electronically and are as legally binding as if you signed a paper document.
